Form IT-204-CP, New York Corporate Partner’s Schedule K-1, is the document a partnership issues to each of its corporate partners to report that partner’s share of income, deductions, gains, losses, and credits from a New York partnership for the tax year. The instructions booklet, IT-204CPI, explains how the partnership fills out this schedule and how the corporate partner should use the information when preparing its own New York corporate tax return. This form is issued by the New York State Department of Taxation and Finance and applies to the 2025 tax year.
Unlike a form you fill out and mail in on your own, IT-204-CP is generated by the partnership as part of its Form IT-204 filing (the New York Partnership Return). Each corporate partner receives a copy, similar to how a federal Schedule K-1 works alongside Form 1065. The instructions clarify line-by-line what each box means, how New York source income is calculated, and how items like addition and subtraction modifications, tax credits, and apportionment factors flow through to the corporate partner’s own filings, such as Form CT-3 or CT-3-A.
Who Needs This Form
You need IT-204-CP if you’re a partnership doing business in New York with one or more corporate partners. The partnership is responsible for preparing and distributing this schedule to every corporate partner, whether that partner is a C corporation, S corporation, or another type of entity taxed as a corporation. On the receiving end, corporate partners need this schedule to accurately report their distributive share of partnership items on their New York franchise tax return.
If your partnership has individual partners instead of corporate ones, you’d use Form IT-204-IP instead. It’s common for larger partnerships to have a mix of partner types, which means preparing both IT-204-CP and IT-204-IP schedules for the same tax year, each following its own separate instruction set.
When It’s Used
IT-204-CP is prepared annually, alongside the partnership’s IT-204 return, generally due around the same time as federal partnership returns (with New York-specific extensions available). Corporate partners then use the figures reported on their copy of IT-204-CP when they file their own corporate tax returns later in the season. Because the corporate partner’s filing depends on receiving accurate numbers from the partnership, timing matters — delays in partnership filings can push back a corporate partner’s ability to file on time.
The instructions also address situations involving tiered partnerships, where a partnership is itself a partner in another partnership. In these cases, income and credit items need to flow through multiple levels before reaching the ultimate corporate partner, and the IT-204CPI booklet walks through how to handle that pass-through reporting correctly.
How to Get and Fill Out the Form
Form IT-204-CP and its instructions are available directly from the New York State Department of Taxation and Finance website as a PDF. This particular form does not support digital fill-in — you’ll need to print it out and complete it by hand, then distribute copies to corporate partners as required. Keep in mind that the partnership itself is responsible for generating this schedule for each corporate partner as part of its overall partnership filing package, not something a corporate partner requests separately.
When reviewing the instructions, pay close attention to the sections covering New York additions and subtractions, since these often trip up preparers unfamiliar with state-specific adjustments that don’t apply at the federal level. The apportionment percentage section is also worth reading carefully, as it determines how much of the partnership’s income is treated as New York source income for the corporate partner.
If you’re also dealing with related New York tax filings, it can help to look at other state-specific instruction guides. For example, individuals adjusting their state withholding might reference the Form IT-2104 instructions for New York withholding allowances, while part-year or nonresident filers dealing with multi-year income allocation may find the Form IT-203-F-I guide useful for understanding how New York spreads certain income across multiple years. These aren’t directly related to partnership K-1 reporting, but they reflect the same level of state-specific detail that New York tax forms tend to require.
Because this is an information-reporting document rather than a standalone tax return, accuracy on the partnership’s end is critical — errors here get passed along to every corporate partner and can trigger amended filings down the line. Reviewing the full IT-204CPI instructions before completing the schedule, rather than relying on a prior year’s version, is the safest way to make sure the 2025 figures match current New York tax law.
