Form IT-204-I is the instruction booklet the New York State Department of Taxation and Finance publishes to accompany Form IT-204, the state’s Partnership Return. If your business operates as a partnership, limited liability partnership (LLP), or limited liability company (LLC) treated as a partnership for federal tax purposes and has income, gain, loss, or deductions connected to New York, this booklet is the reference you need before sitting down to complete the actual return.
Unlike a standalone tax form, IT-204-I doesn’t ask for any financial information itself. It walks preparers through every line of Form IT-204, explains which schedules apply to which types of entities, and clarifies definitions that trip up first-time filers, like what counts as New York source income for a partnership with operations both inside and outside the state.
Who Needs This Form
Any partnership that does business, employs capital, owns property, or otherwise generates income within New York State generally has to file Form IT-204, and therefore needs the instructions in IT-204-I to do it correctly. This includes:
- General partnerships with New York-sourced income
- Limited partnerships registered or operating in the state
- LLPs and LLCs classified as partnerships for federal purposes
- Partnerships with nonresident partners who have New York filing obligations
Single-member LLCs and entities taxed as corporations don’t use this form. If you’re unsure how your entity is classified, that determination usually comes from how you filed federally, since New York partnership treatment generally follows the federal designation.
When It’s Used
The IT-204-I instructions apply specifically to tax year 2025 filings. Partnerships with a calendar year generally need to file Form IT-204 by March 17, 2026 (the standard March 15 deadline shifted because it falls on a weekend), though extensions are available through Form IT-370-PF. The instructions cover both the standard filing timeline and the rules for short-year or final returns if the partnership dissolved or changed structure during the year.
Partnerships that allocate income between New York and other states will find the booklet especially useful, since it explains the allocation percentages and apportionment methods required on the return. This is conceptually similar to what nonresident individuals face when using Form IT-203-A’s business allocation schedule, though the partnership-level calculations in IT-204 have their own set of rules and worksheets.
How to Get and Complete It
Form IT-204-I is only available as a printable PDF directly from the New York State Department of Taxation and Finance website. There’s no digital fill-in version, so once you download it, you’ll need to print it and work through it alongside a physical or separately downloaded copy of Form IT-204 itself. Keep a pen handy for the actual return since the instructions themselves don’t require any entries; they exist purely to guide you through the form.
When working through the booklet, pay close attention to the sections covering partner-level reporting, since each partner needs a corresponding IT-204-IP schedule showing their share of income, deductions, and credits. The instructions also detail how to handle special situations like tiered partnerships, where one partnership holds an interest in another, and how New York treats guaranteed payments differently in certain calculations than the IRS does federally.
Entities involved in real property or specialized industries sometimes deal with overlapping state filings. For example, cooperative housing corporations have their own separate informational reporting requirements, detailed in our overview of Form TP-588, and businesses claiming certain property tax exemptions may also need to coordinate with forms like Form RP-485-P if they operate in designated economic transformation areas.
Because IT-204-I changes from year to year to reflect updated tax law, credit thresholds, and filing addresses, always confirm you’re using the version labeled for tax year 2025 rather than an older copy that might reference outdated rates or deadlines.
