When a California limited partnership loses its good standing with the state, it can’t legally transact business until it gets that status back. Form 3557C, issued by the California Franchise Tax Board (FTB), is the application partnerships use to request a Confirmation Letter for Limited Partnership Revival — the official document that proves the FTB has cleared the entity to resume operations.

This form is specific to limited partnerships (LPs). If you’re dealing with a corporation instead, the process is similar but handled through FTB Form 3557 BC, the Application for Certificate of Revivor for Corporations. Don’t confuse the two — submitting the wrong form to the FTB just delays your revival request.

Why Limited Partnerships Fall Out of Good Standing

An LP typically loses its active status with the FTB for a handful of reasons: unpaid taxes, penalties, or fees; failure to file required tax returns; or not maintaining a registered agent for service of process in California. Once the FTB suspends or forfeits the partnership, its rights, powers, and privileges in the state are suspended too. That means the LP can’t sue, defend itself in court, or enter into enforceable contracts until it’s revived.

Who Needs Form 3557C

Any general partner or authorized representative of a suspended or forfeited limited partnership needs this form if they want to bring the entity back into good standing. This usually comes up when:

  • The partnership wants to renew a business license or contract that requires proof of active status.
  • A lender, escrow company, or title company requests confirmation that the LP is in good standing before closing a deal.
  • The partnership is preparing to dissolve properly and needs to clear its status first.
  • Partners simply want to resume normal operations after resolving the issue that caused the suspension.

Before You File: Clear Up the Underlying Issue

The FTB won’t issue a Confirmation Letter just because you filled out the form. You need to resolve whatever caused the suspension first — usually by filing all delinquent tax returns and paying any outstanding taxes, penalties, and interest. If your partnership disputes a penalty and believes it was assessed unfairly, it’s worth reviewing FTB Form 2924, the Reasonable Cause Claim for Refund for Business Entities, since a successful claim can reduce what you owe before you submit your revival application.

How to Complete Form 3557C

The form itself is short and asks for basic identifying information: the limited partnership’s exact legal name as registered with the California Secretary of State, its FTB entity ID or Secretary of State file number, a current mailing address, and contact details for the person requesting the letter. Since it’s an AcroForm, you can fill it out directly on your computer using any standard PDF reader — no need to print it blank and write by hand, though you’ll still need to sign it before submitting.

Once completed, the form is mailed or faxed to the FTB’s Revivor Unit along with any required documentation showing the outstanding tax matters have been resolved. Processing isn’t instant — the FTB needs time to verify that all returns are filed and payments cleared before issuing the confirmation letter, so it’s smart to submit the request well ahead of any deadline tied to a business transaction.

Keep a copy of the submitted form and the eventual confirmation letter with your business records. Banks, title companies, and other partners often ask for proof of good standing years down the line, and having that documentation on hand saves you from repeating this process from scratch.
